Please read these Terms and Conditions carefully before using AV Professionals. By creating an account or using our platform, you agree to be bound by these terms. If you do not agree, please do not use our services.

1. About These Terms

These Terms and Conditions ("Terms") govern your use of the AV Professionals platform ("Platform"), operated by AV Professionals ("we", "us", or "our"). These Terms form a legally binding agreement between you and AV Professionals. We may update them from time to time, and we will notify you of any material changes.

2. Eligibility

You must be at least 18 years old to use our Platform. By registering for an account, you confirm that you meet this age requirement and that the information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3. The Platform

AV Professionals is an online marketplace that enables clients to discover, contact, and hire audio-visual professionals. We act as an intermediary connecting two parties and are not a party to any agreement made between a client and a professional. We do not employ professionals listed on the Platform.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice.

4. User Accounts

When you register, you agree to:

• Provide accurate and truthful information.
• Keep your account details up to date.
• Not share your password or allow others to access your account.
• Notify us immediately if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for an extended period.

5. Professional Listings

Professionals who list their services on the Platform agree to:

• Provide accurate and up-to-date information about their qualifications, experience, and services.
• Only offer services they are qualified to perform.
• Communicate honestly and promptly with clients.
• Honour agreed-upon rates and deliverables.
• Comply with all applicable laws and regulations in their jurisdiction.

We reserve the right to remove, suspend, or modify any listing that we determine, at our sole discretion, violates these Terms or is misleading to clients.

6. Inquiries and Contracting

The inquiry system on our Platform is a communication tool only. Any agreement to perform work — including scope, pricing, timeline, and payment — is made directly between the client and the professional. AV Professionals is not responsible for the quality, safety, legality, or timely delivery of any services agreed between users.

We strongly recommend that both parties document agreements in writing before any work begins.

7. Fees and Payments

Creating a client account and browsing the Platform is free. Professionals may be subject to listing fees, subscription plans, or commission structures as outlined in our current pricing, which is available on the Platform. All fees are stated inclusive of any applicable taxes unless otherwise noted.

We use third-party payment processors to handle transactions. By making a payment, you also agree to the terms of those payment providers. We are not responsible for errors or disputes arising from payment processing, though we will make reasonable efforts to assist in resolving them.

8. Reviews and Ratings

Clients may leave reviews and ratings for professionals following a completed engagement. By submitting a review, you confirm that it reflects your genuine, first-hand experience. We do not allow:

• Fake, incentivised, or malicious reviews.
• Reviews that contain defamatory, offensive, or legally sensitive content.
• Reviews submitted by anyone with a conflict of interest.

We reserve the right to remove reviews that violate these guidelines.

9. Prohibited Conduct

When using our Platform, you agree not to:

• Post false, misleading, or fraudulent information.
• Harass, threaten, or intimidate other users.
• Attempt to circumvent the Platform to take transactions off-platform to avoid fees.
• Scrape, copy, or use our content or data without written permission.
• Use the Platform to distribute spam or unsolicited communications.
• Upload malicious code, viruses, or any content that could harm our systems or other users.
• Impersonate another person or entity.

Violations may result in immediate account suspension and, where appropriate, legal action.

10. Intellectual Property

All content on this Platform — including text, graphics, logos, and software — is owned by or licensed to AV Professionals. You may not copy, reproduce, distribute, or create derivative works from our content without our express written consent.

By submitting content to the Platform (such as a profile, portfolio, or review), you grant AV Professionals a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content in connection with the operation of the Platform.

11. Limitation of Liability

To the fullest extent permitted by law, AV Professionals shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Platform or any services arranged through it. This includes, without limitation, loss of profit, data, goodwill, or business opportunity.

Our total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the fees paid by you to AV Professionals in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless AV Professionals, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account immediately if you violate these Terms, without refund of any prepaid fees. Upon termination, your right to use the Platform ceases immediately, though provisions that by their nature survive termination will continue to apply.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which AV Professionals is registered. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
